Acceptance of the Terms of Use

These terms of use are entered into by and between you and MeetNotes Private Limited/MeetMinutes, an Indian corporation (Company, we or us). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these Terms of Use or Terms), govern your access to and use of the (a) MeetMinutes application, including any content, functionality, and services offered on or through the application (MeetMinutes), (b) the MeetMinutes website, MeetMinutes.in, all subdomains thereof, and social media accounts and pages we operate (collectively, the Site), whether you are a guest or a registered user; and (c) any other web resources controlled by us. References herein to MeetMinutes shall also mean and include the Site, as the context requires. References herein to you, your, or yours shall refer to you and any other users who access and use MeetMinutes under your subscription (collectively, Authorized Users). In case you are acting on behalf of an entity or organization (also, a Corporate User), references herein to you, your, or yours shall also mean your internal users who access or use MeetMinutes under your subscription and with whom you have an employment, contractor, or agency relationship (collectively, End Users).

PLEASE READ THE TERMS OF USE CAREFULLY BEFORE YOU START TO REGISTER WITH, USE, OR ACCESS MEETMINUTES. BY REGISTERING WITH, USING, OR ACCESSING MEETMINUTES, YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS OF USE AND OUR PRIVACY POLICY INCORPORATED HEREIN BY REFERENCE; (B) REPRESENT THAT YOU ARE OF LEGAL AGE AND CAPACITY TO ENTER INTO A BINDING AGREEMENT; AND (C) ACCEPT THESE TERMS AND AGREE THAT YOU ARE LEGALLY BOUND BY IT. IF YOU ARE A CORPORATE USER, YOU (D) FURTHER REPRESENT THAT YOU ARE AUTHORIZED TO BIND YOUR ENTITY OR ORGANIZATION, AND THAT YOUR ACCEPTANCE OF THESE TERMS LEGALLY BINDS SUCH ENTITY OR ORGANIZATION. IF YOU DO NOT AGREE TO THESE TERMS OF USE OR THE PRIVACY POLICY, YOU MUST NOT ACCESS OR USE MEETMINUTES OR THE SITE. REFERENCES HEREIN TO USE OR ACCESS SHALL INCLUDE REGISTERING WITH, USING, AND/OR ACCESSING MEETMINUTES, INCLUDING USING THE CONTENT, FEATURES, FUNCTIONALITY, AND/OR SERVICES OF MEETMINUTES.

IMPORTANT: PLEASE REVIEW THE MUTUAL ARBITRATION AGREEMENT SET FORTH BELOW CAREFULLY, AS IT WILL REQUIRE YOU TO RESOLVE DISPUTES WITH MEETMINUTES ON AN INDIVIDUAL BASIS (WAIVING YOUR RIGHT TO A CLASS ACTION) THROUGH FINAL AND BINDING ARBITRATION. BY ENTERING THIS AGREEMENT, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND ALL OF THE TERMS OF THIS MUTUAL ARBITRATION AGREEMENT AND HAVE TAKEN THE TIME TO CONSIDER THE CONSEQUENCES OF THIS IMPORTANT DECISION. THESE TERMS OF USE ALSO CONTAIN RELEASES, LIMITATIONS ON LIABILITY, AND PROVISIONS ON INDEMNITY AND ASSUMPTION OF RISK, ALL OF WHICH MAY LIMIT YOUR LEGAL RIGHTS AND REMEDIES. PLEASE REVIEW THEM CAREFULLY.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them. However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction and Binding Arbitration/Class Action Waiver will not apply to any disputes for which the parties have actual notice prior to the date the change is posted on our Site at MeetMinutes.in

Your continued use of MeetMinutes following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you. We may send you a courtesy email if we have an email address on file for you notifying you of changes to the Terms of Use.

License Grant

Subject to these terms for the applicable term of your subscription or Lifetime Deals released as a promotional offer from time to time, the Company grants you a limited, non-exclusive, non-sublicensable, and non-transferable license to: (a) register with, use, and access MeetMinutes and/or the Site for your personal use or internal business use on a computer owned or otherwise controlled by you (Device) strictly in accordance with these Terms and MeetMinutes documentation; and (b) access, download, and use on such Device the services made available in or otherwise accessible through MeetMinutes, strictly in accordance with these Terms. MeetMinutes is delivered electronically and you may extend said license to your Authorized Users and End Users, as applicable, and you are authorized to provide single-user copies of MeetMinutes to each End User or Authorized User, as applicable, in accordance with the Terms. You represent and warrant that your Authorized Users or End Users, as applicable, acknowledge and accept these Terms, and you are responsible for the activities of your End Users or Authorized Users their compliance with these Terms. MeetMinutes assumes no responsibility or liability for violations of these Terms by your Authorized Users or End Users, as the case may be.

License Restrictions

You shall not: (a) copy MeetMinutes, except as expressly permitted by this license; (b) modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of MeetMinutes; (c) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of MeetMinutes or any part thereof; (d) remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from MeetMinutes, including any copy thereof; (e) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available MeetMinutes, or any content, features, or functionality of MeetMinutes, to any third party for any reason, including by making MeetMinutes available on a network where it is capable of being accessed by more than one device at any time, except as expressly authorized hereunder; (f) remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management, or security features in or protecting MeetMinutes; or (g) abuse the platform with exceptionally high traffic of usage ; or (h) sharing the license between multiple individuals; or (i) multiple individuals using the same license; or (j) use MeetMinutes in, or in association with, the design, construction, maintenance, or operation of any hazardous environments or systems, including any power generation systems; aircraft navigation or communication systems, air traffic control systems, or any other transport management systems; safety-critical applications, including medical or life-support systems, vehicle operation applications or any police, fire, or other safety response systems; and military or aerospace applications, weapons systems, or environments.

Reservation of Rights

You acknowledge and agree that MeetMinutes is provided under license, and not sold, to you. You do not acquire any ownership interest in MeetMinutes under these Terms, or any other rights thereto other than to use MeetMinutes in accordance with the license granted, and subject to all terms, conditions, and restrictions, under these Terms. Company and its licensors and service providers reserve and shall retain their entire right, title, and interest in and to MeetMinutes, including all copyrights, trademarks, and other intellectual property rights therein or relating thereto, including the right to terminate the provided MeetMinutes account access, if their usage is found, out of our own analysis which is unquestionable by the users or their representatives thereof, to be in violation of the terms of use of MeetMinutes.

Collection and Use of Your Information

You acknowledge that when you download, install, register with, use, or access MeetMinutes, we may use automatic means (including, for example, cookies and web beacons) to collect information about your Device and about your use of MeetMinutes. You also may be required to provide certain information about yourself as a condition to downloading, installing, registering with, using or accessing MeetMinutes or certain of its content, features, or functionality, and MeetMinutes may provide you with opportunities to share information about yourself with others. You acknowledge and accept that MeetMinutes has certain content, features, functionality, or services that are based on artificial intelligence, digital signal processing, and machine learning systems, which may also be collecting information on your use of and access to MeetMinutes. All information we collect through or in connection with MeetMinutes and the Site is subject to our Privacy Policy, available here and incorporated herein by reference. By downloading, installing, registering with, using, accessing and providing information to or through MeetMinutes and the Site, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

Updates

We may from time to time in our sole discretion develop and provide application updates for MeetMinutes and/or otherwise make changes to all or parts of MeetMinutes and/or the Site, which may include upgrades, bug fixes, patches, other error corrections, and/or new features (collectively, including related documentation, Updates). Updates may also modify or delete in their entirety certain content, features, and functionality. You agree that we have no obligation to provide any Updates or to continue to provide or enable any particular content, features, or functionality. You also agree that we don't guarantee that we will support the version of the system for which you licensed MeetMinutes. Updates may not be compatible with software or services provided by third parties.

We may or may not backup any or all content, features, functionalities, services, or aspects of MeetMinutes, including your settings; however, we take no responsibility for any such material that is lost, damaged, or deleted, and you hereby acknowledge and agree that we are in no way liable for any damage that this action or omission may cause you.

Further, we reserve the right to in any way modify the content, features, functionality, status, settings, condition, and/or other features of MeetMinutes for a user at any time, for any period, in our sole discretion, with or without reason or cause, and without notice.

You further agree that all Updates will be deemed part of MeetMinutes and be subject to all terms and conditions of these Terms and you acknowledge and agree that you have read and accepted any updated terms and conditions that may accompany such Updates. Failure to comply with this Section may result in termination of your license to use MeetMinutes and/or the Site. From time to time, we may decide to discontinue support for certain older versions of MeetMinutes. We will provide you with reasonable notice before such discontinuation takes effect, and we encourage you to update to the latest version of MeetMinutes. In the event of version deprecation, we may stop providing maintenance, Updates, and technical support for the deprecated version, and we will not be responsible for any issues that may arise from your continued use of such deprecated version. By continuing to use the deprecated version after the notice period, you acknowledge and accept the risks associated with the use of an unsupported version of MeetMinutes.
